I'd            suggest getting a copy of it ASAP so you have as much time as possible to review                it.  And, giving it a read to see if anything jumps out at                you.  Some of these kinds of documents are ridiculous, and                      you wouldn't want to sign them.  Not                        that I'm an expert, but I've never                          heard of the kind of agreement you mention                                -- rather, I've heard of                                  just modifying                                  the NDA to be reasonable.  Any restriction not explicitly                                    outlined in the NDA would not be in effect, as                                          far as I understand. In other words, I think it's                                            assumed that you                                              are agreeing                                                only to those restrictions                                                mentioned in the NDA and                                                there is no need to                                                explicitly state the ones                                                that are omitted.  I'd recommend                                                    being very careful and                                                    being willing to walk                                                    away.
